These Terms and Conditions ("Terms") govern your access to and use of the services, websites, platform, APIs, and AI agents (collectively, the "Services") provided by NodusAI Systems PTY LTD (ABN 63 694 785 389, ACN 694 785 389) ("Nodus", "we", "us", "our"). By creating an account, subscribing to a plan, or otherwise using the Services, you agree to be bound by these Terms.
1. Acceptance & Eligibility
You must be at least 18 years old, have full legal capacity to enter binding agreements, and represent the business on whose behalf you subscribe. By accepting these Terms you warrant that the information you provide is accurate and that you have authority to bind your organisation.
2. The Services
Nodus provides an AI-powered business automation platform including, but not limited to, autonomous AI agents for lead generation, voice answering, outbound calling, appointment setting, sales closing, B2B outreach, social media, advertising, and client services. The Services may include telephony, SMS, email, CRM, calendar, and third-party integrations.
We may enhance, modify, or discontinue features at our discretion. Material reductions in functionality will be notified to active subscribers at least 30 days in advance where reasonably practicable.
3. Your Account
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must notify us immediately of any unauthorised access at hello@nodusaisystems.com.
- You must not share, resell, or permit unauthorised parties to use your account without our written consent.
4. Fees, Billing & Taxes
Subscription fees are billed in advance on a recurring basis via Stripe. All amounts are in USD unless otherwise stated and exclude applicable taxes (including GST where required under Australian law). By subscribing, you authorise Nodus to charge your nominated payment method on each renewal until cancelled in accordance with clause 6.
Usage above your plan's monthly allowance (voice minutes, SMS, emails, social posts, Apollo prospects, AI actions) is billed as metered overage at 1.5× the underlying per-unit rate. Detailed overage reporting is available in your dashboard.
5. Free Trials & Promotions
Where offered, trials convert automatically to paid subscriptions at the end of the trial period unless cancelled before expiry. Promotional pricing applies only for the stated period and reverts to standard pricing thereafter.
6. Cancellation & Refunds
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing cycle; the Services remain available through that period. Fees already paid are non-refundable except where required by law (including under Australian Consumer Law). For specific subscription provisions, see our Subscription Terms.
7. Acceptable Use
You must not use the Services to: (a) violate any law, regulation, or third-party right; (b) transmit spam, unsolicited marketing, or prohibited content; (c) deploy telephony or SMS in breach of the Spam Act 2003 (Cth), TCPA, CAN-SPAM, GDPR, or any equivalent regulation; (d) reverse engineer, decompile, or scrape the platform; (e) attempt to circumvent rate limits or usage caps; (f) use the Services in any manner that could damage, overload, or impair the platform. 8. AI Outputs, Accuracy & Human Oversight
AI-generated content is probabilistic, not deterministic. The Services use large language models and automated systems that may produce inaccurate, incomplete, or unintended outputs, including in customer-facing voice calls, emails, and messages. You are responsible for reviewing, configuring, and supervising the behaviour of your deployed agents.
You acknowledge and accept that: (a) AI agents may on occasion generate responses inconsistent with your business intent; (b) voice call transcripts and sentiment analyses are machine-generated and may contain errors; (c) you should maintain reasonable human oversight, particularly for regulated industries (medical, legal, financial); (d) Nodus does not guarantee specific outcomes including lead-conversion rates, revenue, or appointment volumes.
9. Third-Party Services
The Services integrate with third-party providers (including Stripe, Twilio, Retell AI, Anthropic, Apollo.io, Google, Meta, HubSpot, Salesforce, Zoho, Pipedrive). Your use of those services is subject to their respective terms. Nodus is not liable for third-party outages, changes, or terminations outside our reasonable control.
10. Your Content & Data
You retain all right, title, and interest in the content, contact data, recordings, scripts, and business information you submit to the Services ("Customer Data"). You grant Nodus a limited, non-exclusive, worldwide licence to process Customer Data solely to provide the Services. We process personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).
11. Intellectual Property
Nodus and its licensors retain all right, title, and interest in the Services, platform, software, agent architectures, documentation, and trademarks. No rights are granted except as expressly set out in these Terms. You must not remove or obscure any proprietary notices.
12. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other and to use it only to perform under these Terms. This obligation continues for three (3) years after termination.
13. Warranties & Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, Nodus disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. Nothing in these Terms excludes or limits any consumer guarantee that cannot be excluded under Australian Consumer Law.
14. Limitation of Liability
To the maximum extent permitted by law, Nodus's aggregate liability under or in connection with these Terms, whether in contract, tort, or otherwise, is limited to the total fees paid by you in the three (3) months preceding the event giving rise to the claim. In no event is Nodus liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, goodwill, or data.
15. Indemnification
You agree to indemnify and hold harmless Nodus, its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your Customer Data; (c) your use of the Services in violation of law; (d) communications sent by agents you configured or scripted.
16. Suspension & Termination
We may suspend or terminate your access immediately for material breach, non-payment, suspected fraud, or risk to the platform or other customers. Upon termination: (a) subscription access ceases; (b) you may request an export of your Customer Data within 30 days; (c) Nodus will delete or anonymise Customer Data in accordance with our Privacy Policy and data retention schedule thereafter.
17. Changes to Terms
We may amend these Terms from time to time. Material changes will be notified by email or in-platform notice at least 14 days before taking effect. Continued use of the Services after the effective date constitutes acceptance.
18. Governing Law & Jurisdiction
These Terms are governed by the laws of New South Wales, Australia. The parties submit to the exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals therefrom.
