Subscription Terms

These Subscription Terms supplement the Terms & Conditions and apply to all paid subscriptions to the Nodus AI Systems platform provided by NodusAI Systems PTY LTD (ABN 63 694 785 389).
1. Plans & pricing
Nodus offers four subscription tiers. All pricing is in USD and excludes applicable taxes (GST will be added for Australian customers).
- Receptionist — $197/month. Includes 375 voice minutes, 200 AI actions, 100 SMS, 200 emails.
- Starter — $497/month. Includes 750 voice minutes, 750 AI actions, 300 SMS, 500 emails.
- Growth — $797/month. Includes 1,500 voice minutes, 1,500 AI actions, 500 SMS, 1,500 emails, 15 social posts, 550 Apollo prospects.
- Agency — $1,497/month. Includes 3,750 voice minutes, 3,000 AI actions, 1,000 SMS, 3,000 emails, 30 social posts, 1,000 Apollo prospects.
Current plan features, inclusions, and pricing are published on our pricing page. We reserve the right to adjust pricing with at least 30 days' notice before your next renewal.
2. Billing cycle & renewals
Subscriptions are billed monthly in advance via Stripe on the calendar date corresponding to your initial subscription. Subscriptions renew automatically for successive one-month periods until cancelled. Renewal notices are not issued prior to each renewal unless required by law.
3. Usage allowances & overages
Each plan includes monthly usage allowances. Usage is never hard-capped — your agents continue to operate past the allowance to ensure no leads, calls, or messages are lost. Usage above the allowance is billed as metered overage at the following premium rates, computed daily and invoiced at the end of your billing cycle:
Overage rates (1.5× underlying cost):
- Voice minutes: metered per minute
- SMS messages: metered per segment
- Emails: metered per email sent
- AI actions: metered per completion
- Social posts & Apollo prospects: metered per unit
Real-time usage and projected overages are visible at Dashboard > Usage.
4. Upgrades & downgrades
You may change plans at any time from your dashboard.
- Upgrades take effect immediately. We pro-rate the remaining period of your current cycle and charge the difference.
- Downgrades take effect at the end of the current billing cycle. You retain full access to your higher tier until renewal.
5. Cancellation
You may cancel your subscription at any time from your dashboard or by writing to hello@nodusaisystems.com. Cancellation takes effect at the end of the current billing cycle. Your Services — including deployed agents, telephony numbers, and integrations — will be suspended at that time.
You may re-activate within 30 days of cancellation to retain your configuration. Beyond 30 days, your data and configuration may be deleted in accordance with our Privacy Policy.
6. Refunds
Subscription fees are non-refundable except where required by law (including Australian Consumer Law). We do not provide refunds for partial months, unused allowances, accidental renewals, or cancellations mid-cycle. Overage charges already incurred are also non-refundable.
If you believe your account was billed in error, contact us within 30 days of the charge and we will investigate in good faith.
7. Failed payments & suspension
If a renewal payment fails, we will attempt re-collection and notify you by email. After 7 days of non-payment, your Services — including all AI agents and provisioned phone numbers — will be suspended automatically via our Stripe webhook integration. Accounts unpaid for 30 days may be terminated and data deleted.
8. Telephony numbers
Phone numbers provisioned through Nodus (via Twilio) are leased to you for the duration of your subscription. On cancellation or downgrade, numbers may be released back to the underlying carrier and are not guaranteed to be recoverable.
9. Add-ons
Certain agents (e.g. Social Engagement, Conversational Workflow) are available as add-ons regardless of plan. Add-ons are billed monthly in addition to your base subscription and follow the same cancellation terms.
10. Price changes
We will notify active subscribers of any base price change at least 30 days before the change takes effect. If you do not accept the new price, you may cancel before the change takes effect and continue at your existing rate until the end of your current cycle.
11. Service levels
We target 99.5% monthly uptime for the platform. Scheduled maintenance windows, force majeure events, and third-party provider outages (Stripe, Twilio, Retell, Anthropic) are excluded from this target. We do not offer service-level credits under standard subscriptions; enterprise SLAs are available on request.
12. Enterprise & custom plans
For annual commitments, custom usage tiers, white-label deployments, or dedicated infrastructure, contact hello@nodusaisystems.com. Custom terms, where agreed, override the standard Subscription Terms.
